I regularly handle intellectual property and technology issues in mergers and acquisitions and other corporate transactions, including strategy, IP due diligence, drafting and negotiating IP and technology aspects of purchase and ancillary agreements (such as licenses and transition service agreements).


I have negotiated numerous licensing, endorsement, sponsorship, production, distribution, co-existence, software development, outsourcing, strategic alliance, consulting, independent contractor, and marketing agreements. I also handle domestic and international franchise matters for franchisors, franchisees, and investors, including regulatory compliance, drafting and negotiating development and franchise agreements, and counseling.


I advise clients on various Internet law matters, including ICANN and the New gTLD Program, Internet governance, website development and content, domain name acquisitions, transfers, disputes, and online policing and enforcement of IP rights.


Also, I counsel clients on a broad spectrum of intellectual property and technology matters, primarily trademark, copyright, trade secret, software, domain name, technology, E-commerce, privacy, and issues of right-of-publicity. I work with multinational clients on strategic brand and IP portfolio management matters, including clearance, prosecution, maintenance, and enforcement of trademark rights worldwide.


I work with clients on resolving compliance issues relating to accessibility for websites & mobile apps under ADA.


I often work with clients in the entertainment, consumer goods, technology, internet, apparel, accessory, fragrance, financial services, manufacturing, pharmaceutical, and publishing industries.
